Terms of Service

2. Eligibility

You must be at least 18 years old and capable of entering into a binding agreement. By creating an account, you represent that all information you provide is accurate and complete.

3. Account Registration

You may register using Google, X, or email OTP (one-time password). You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4. Platform Description

Pane connects crypto businesses with content creators across X, TikTok, Telegram, YouTube, and Instagram. Businesses discover creators, negotiate deals via in-app chat, and pay securely through escrow on the Solana blockchain using USDC or other SPL tokens.

5. User Roles

Creators: Content creators who list their services, set pricing, and fulfill promotional campaigns for businesses.

Businesses: Companies or individuals who browse creators, send offers, and pay for promotional services.

6. Offers & Deals

Businesses may send offers to creators specifying deliverables, pricing, and deadlines. Once a creator accepts an offer, it becomes an active deal. Both parties are expected to fulfill their obligations in good faith. Deals follow a defined state machine from offer to completion.

7. Pane Escrow

All payments are processed through Pane Escrow using USDC or other SPL tokens on the Solana blockchain. When a business funds an order, the funds are held in a per-order escrow wallet until the creator delivers the work and the business confirms delivery, or the auto-accept period elapses.

Delivery Protection: Businesses may optionally enable Delivery Protection, which keeps funds locked for a specified period after delivery confirmation to ensure deliverables remain live.

8. Fees

Pane charges a 10% service fee from the business on each completed order. Creators pay 0% in fees. Fees are deducted from the escrowed amount before release to the creator.

9. Disputes & Refunds

If a business is not satisfied with a delivery, they may request a revision or open a dispute. Pane will review disputes and may issue partial or full refunds at its discretion. Decisions by Pane on disputes are final.

10. Prohibited Conduct

You agree not to:

• Use the Platform for any illegal purpose or in violation of any applicable laws.
• Circumvent Pane Escrow by arranging off-platform payments.
• Impersonate another person or misrepresent your identity or affiliations.
• Post false, misleading, or fraudulent content.
• Interfere with or disrupt the Platform or its infrastructure.
• Scrape, crawl, or harvest data from the Platform without authorization.

11. Intellectual Property

All content, trademarks, and materials on Pane are owned by or licensed to Pane. Users retain ownership of content they create but grant Pane a non-exclusive license to display and distribute it on the Platform.

12. Marketing & Promotional Use

By creating an account on Pane, you grant Pane a non-exclusive, royalty-free, worldwide license to use your profile information — including your display name, profile picture, biography, and publicly visible statistics — in Pane's marketing materials, website, social media, and promotional content. This license is limited to promoting the Platform and does not extend to unrelated commercial use.

You may revoke this license at any time by contacting us at contact@pane.work. Upon receiving your request, Pane will remove your likeness from future marketing materials within a reasonable timeframe, though previously published materials may remain in circulation.

13. Limitation of Liability

Pane is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Pane shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or digital assets.

14. Termination

Pane may suspend or terminate your account at any time for violations of these Terms or for any reason at our sole discretion. Upon termination, any pending escrow funds will be handled according to our dispute resolution process.

15. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall be resolved through binding arbitration.
